District 76 Riders Event Organizer & Ride Creator Agreement

PLEASE READ CAREFULLY. THIS AGREEMENT AFFECTS YOUR LEGAL RIGHTS AND RESPONSIBILITIES.

This Event Organizer & Ride Creator Agreement (“Agreement”) applies whenever you create, submit, publish, host, lead, coordinate, manage, promote, or otherwise organize a ride, meetup, event, gathering, destination ride, motorcycle activity, or similar activity through District 76 Riders (“D76,” “District 76,” “we,” “us,” or “our”).

By selecting “I Agree & Publish”, creating or publishing an activity, or acting as an organizer, host, ride creator, ride lead, sweep, coordinator, or similar participant through D76, you acknowledge that you have read, understood, and voluntarily agree to this Agreement.

This Agreement supplements the District 76 Terms of Service, Community Guidelines, Privacy Policy, and Safety Waiver & Assumption of Risk.

1. You Are an Independent Organizer

Unless District 76 expressly agrees otherwise in writing, you are acting independently and voluntarily.

Creating, publishing, hosting, leading, or coordinating an activity through D76 does not make you:

• an employee of D76;
• an agent of D76;
• a contractor of D76;
• an officer or representative of D76;
• a professional motorcycle guide;
• a professional riding instructor;
• a traffic controller;
• a security provider;
• an emergency responder; or
• a person authorized to legally bind District 76.

You may not represent that you have authority to act on behalf of D76 unless D76 has expressly granted that authority in writing.

2. Platform Versus Organizer

District 76 provides community and technology tools that allow users to discover, create, publish, communicate about, and participate in motorcycle-related activities.

Unless an activity is expressly identified as being officially organized and operated by District 76, D76 is not the organizer, promoter, operator, producer, supervisor, controller, or manager of the activity.

The fact that an activity appears on d76riders.com, is distributed through D76 notifications, uses D76 community tools, appears in the Pipeline, is shared by a D76 administrator, or includes D76 members does not make District 76 responsible for the activity.

3. Your Responsibility for Information You Publish

You are responsible for information you submit concerning an activity.

You agree to make reasonable efforts to ensure that material information is accurate, including, where applicable:

• date;
• time;
• meeting location;
• departure time;
• destination;
• route description;
• event organizer;
• cost or cover;
• registration requirements;
• age restrictions;
• motorcycle or equipment requirements;
• known restrictions;
• cancellation information; and
• other important participation details.

You must not intentionally publish false, fraudulent, deceptive, or materially misleading event information.

4. Third-Party Events

If you submit an activity organized by another business, organization, club, promoter, venue, or individual, you must accurately identify the appropriate organizer whenever reasonably possible.

Submitting, importing, or sharing a third-party event through D76 does not make you or District 76 responsible for operating that event unless you separately undertake such responsibility.

You may not falsely represent that a third-party event is sponsored, endorsed, affiliated with, or operated by D76.

5. Motorcycle Riding Is Inherently Dangerous

You understand that motorcycles and motorcycle-related activities involve substantial risks of:

• collision;
• bodily injury;
• permanent disability;
• paralysis;
• property damage; and
• death.

Risks may arise from traffic, other riders, drivers, weather, animals, roadway conditions, mechanical failure, rider error, equipment failure, route conditions, fatigue, impairment, communication failures, and circumstances that cannot reasonably be predicted or controlled.

You voluntarily assume the risks associated with your own participation in any activity you create, organize, host, lead, or attend.

6. Organizers Do Not Control Participants

Every rider participating in an activity remains individually responsible for operating their motorcycle.

You must not represent that you can guarantee the safety, conduct, riding ability, legal compliance, mechanical condition, insurance status, or decisions of participants.

Participants remain responsible for:

• whether to participate;
• their motorcycle;
• licensing and endorsements;
• insurance;
• protective equipment;
• mechanical condition;
• speed;
• following distance;
• lane position;
• route decisions;
• riding ability;
• physical condition;
• compliance with traffic laws; and
• whether to continue or leave an activity.

7. Ride Your Own Ride

You agree that D76 activities operate under the principle:

Ride your own ride.

You must not require or pressure participants to:

• exceed their ability;
• exceed lawful speeds;
• keep up with a group at the expense of safety;
• run traffic lights or stop signs;
• make unsafe passes;
• perform stunts;
• race;
• ride while impaired;
• operate an unsafe motorcycle; or
• engage in conduct they reasonably believe is unsafe.

A rider may slow down, stop, leave the group, alter their route, decline an activity, or discontinue participation at any time.

8. No Guarantee of Participant Qualifications

You acknowledge that D76 generally does not independently verify every participant's:

• driver's license;
• motorcycle endorsement;
• insurance;
• motorcycle registration;
• riding experience;
• physical condition;
• criminal history;
• driving history;
• motorcycle condition; or
• ability to safely participate.

Profiles, badges, trust indicators, verification statuses, ride histories, ratings, or other information displayed by D76 do not constitute certification that a person is a safe or qualified rider.

9. Ride Leads, Sweeps, and Other Volunteers

If you designate ride leads, sweeps, road captains, coordinators, or other volunteers, those persons remain independent participating riders unless D76 expressly states otherwise.

Such roles are intended to assist with organization and communication.

They do not make the individual responsible for another rider's operation of their motorcycle or guarantee participant safety.

You may not represent otherwise.

10. Route Planning

If you create or provide a route, GPS file, map, turn-by-turn directions, waypoint, meeting point, fuel stop, destination, or similar information, you acknowledge that conditions may change.

Routes may contain:

• construction;
• road closures;
• gravel;
• debris;
• potholes;
• flooding;
• weather hazards;
• traffic;
• reduced visibility;
• animals;
• surface deterioration;
• unexpected obstacles; or
• other hazards.

Neither you nor D76 guarantees that a route is safe, open, legal, suitable, or appropriate for every rider.

Participants remain responsible for independently evaluating conditions.

11. Changes and Cancellations

You should make reasonable efforts to update an activity when you become aware of significant changes or cancellation.

However, neither you nor D76 can guarantee that every participant will receive or read an update.

Participants remain responsible for confirming activity information when appropriate.

12. Weather

Weather information displayed through D76 or other sources is informational only.

You are responsible for deciding whether you personally believe an activity should proceed, change, or be canceled.

Every participant independently decides whether weather and road conditions are appropriate for them.

You should not represent that conditions are safe merely because an activity has not been canceled.

13. Compliance With Law

You agree not to intentionally organize or promote activities whose primary purpose is unlawful conduct.

You must not use District 76 to organize, encourage, or promote:

• unlawful street racing;
• intentional reckless driving;
• unlawful road takeovers;
• evading law enforcement;
• dangerous stunt activity on public roads;
• riding while impaired; or
• other unlawful activities.

Participants remain individually responsible for complying with applicable law.

14. Alcohol, Drugs, and Impairment

You may not encourage anyone to operate a motorcycle while impaired.

If alcohol is available at a destination or venue, that does not make D76 or the ride organizer responsible for an individual's decision to consume alcohol or operate a motorcycle afterward.

Every participant is solely responsible for determining whether they are legally and physically capable of operating a motorcycle.

15. Venues and Property Owners

You are responsible for obtaining any permission reasonably necessary to intentionally use private property for an activity you organize.

Do not represent that D76 has obtained authorization from a venue, business, property owner, municipality, or other party unless that is accurate.

You agree to respect applicable venue and property rules.

16. Permits and Legal Requirements

Certain activities may require permits, permissions, insurance, traffic-control arrangements, vendor approvals, or other legal requirements depending on their size, location, or nature.

The organizer is responsible for determining whether requirements apply to an activity they independently organize.

D76 does not provide legal advice and does not guarantee that publication through the platform satisfies any legal requirement.

17. Fees, Donations, and Money

If you collect entry fees, donations, contributions, reimbursements, or other money in connection with an activity, you are responsible for:

• accurately describing the payment;
• handling funds lawfully;
• honoring applicable refund representations;
• keeping appropriate records;
• complying with tax or charitable solicitation requirements where applicable; and
• ensuring you have authority to collect funds for any person or organization you claim to represent.

Unless expressly stated otherwise, D76 is not a custodian, fiduciary, escrow provider, fundraiser, payment guarantor, or party to financial arrangements between organizers and participants.

18. Charitable and Benefit Events

Do not represent that contributions are tax deductible unless you have a lawful basis for doing so.

If an activity benefits another person, family, charity, nonprofit organization, or cause, you are responsible for accurately explaining the relationship.

The appearance of a benefit event on D76 does not constitute certification by D76 of how proceeds will be collected or distributed.

19. Vendors and Sponsors

You are responsible for agreements you independently make with vendors, sponsors, businesses, venues, musicians, food providers, photographers, contractors, or other third parties.

Unless D76 separately enters into the agreement, D76 is not a party to it and assumes no obligations under it.

20. No Promise of Attendance

Publishing an activity through District 76 does not guarantee:

• attendance;
• RSVPs;
• revenue;
• participation;
• weather conditions;
• vendor turnout;
• sponsorship;
• route accessibility; or
• any particular result.

D76 may not be held responsible because anticipated participants fail to attend.

21. RSVPs Are Not Guarantees

RSVP, tracking, interested, attending, or similar platform statuses represent user intentions at a particular time.

They are not binding commitments.

Organizers should not rely upon RSVP counts as guaranteed attendance.

22. Participant Information

Information obtained about participants through D76 may be used only for legitimate purposes reasonably related to the activity or community relationship.

You may not misuse participant information for:

• stalking;
• harassment;
• unauthorized marketing;
• unrelated solicitation;
• publication of private information;
• discrimination;
• intimidation; or
• other unauthorized purposes.

23. Photographs and Media

You are responsible for complying with applicable law concerning photographs, videos, recordings, drones, or other media you independently create.

Publishing an event through D76 does not automatically grant you unlimited rights to another person's name, likeness, copyrighted material, or private property.

24. Incidents and Emergencies

If an accident, injury, medical emergency, fire, crime, or immediate threat occurs, participants should contact appropriate emergency services.

Neither an organizer nor D76 is a substitute for:

• 911;
• emergency medical services;
• law enforcement;
• fire services;
• towing;
• roadside assistance; or
• professional rescue services.

Nothing in this Agreement requires you to perform medical care, rescue, traffic control, towing, or another activity beyond your ability or legal authority.

25. No Duty to Ensure Everyone Reaches the Destination

A group may become separated.

Participants may take different routes, stop, leave, experience mechanical problems, or discontinue participation.

To the fullest extent permitted by applicable law, creating or leading an activity does not create a guarantee or duty that every participant will remain with the group, complete the route, or arrive at a destination.

Participants remain responsible for themselves.

26. Organizer's Own Safety

Your role as an organizer or ride lead does not require you to place yourself in danger.

You may cancel, modify, leave, stop, or discontinue an activity when you reasonably believe continuing would be unsafe or inappropriate.

27. Enforcement and Removal

D76 may remove or restrict an activity, organizer, or account when we reasonably believe:

• information is fraudulent or materially misleading;
• the activity encourages unlawful conduct;
• the organizer creates unreasonable safety concerns;
• the activity violates D76 policies;
• participant information is being misused;
• D76's name or branding is being misrepresented; or
• removal is reasonably necessary to protect D76, members, third parties, or the community.

Publication of an activity does not create a contractual right requiring D76 to continue hosting or promoting it.

28. District 76 Branding

You may describe an activity accurately as being listed, shared, or coordinated through District 76.

You may not claim an activity is an “Official D76 Event,” “D76 Sponsored Event,” “D76 Sanctioned Event,” or otherwise officially operated or endorsed by District 76 unless D76 has authorized that designation.

Use of D76 logos, trademarks, artwork, or branding remains subject to D76 authorization and applicable policies.

29. No Creation of a Special Relationship

To the fullest extent permitted by applicable law, your use of D76 organizer tools does not create a fiduciary, agency, employment, partnership, joint venture, professional, supervisory, or other special relationship between:

• you and D76;
• D76 and participants;
• you and participants; or
• D76 and third parties,

except for contractual relationships expressly established by applicable D76 agreements.

30. Assumption of Organizer Risk

You understand that organizing or coordinating activities involving other persons carries additional risks, including:

• disputes;
• claims;
• injuries;
• property damage;
• participant misconduct;
• inaccurate information;
• cancellations;
• financial losses;
• venue disputes;
• third-party claims; and
• allegations concerning your conduct.

You voluntarily assume the risks associated with your decision to independently organize, create, host, or lead activities.

31. Release of District 76

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, you release, waive, discharge, and covenant not to sue District 76 Riders and its:

• founders;
• owners;
• officers;
• directors;
• administrators;
• moderators;
• employees;
• members;
• volunteers;
• ride leads;
• sweeps;
• organizers;
• affiliates;
• sponsors;
• partners;
• vendors;
• contractors;
• technology providers;
• service providers;
• licensors;
• insurers;
• successors; and
• assigns

(collectively, the “Released Parties”) for claims arising from or relating to your independent creation, organization, publication, promotion, operation, leadership, or participation in an activity.

To the fullest extent permitted by applicable law, this includes claims involving:

• personal injury;
• death;
• property damage;
• motorcycle accidents;
• participant conduct;
• failed communications;
• inaccurate information;
• canceled activities;
• route conditions;
• weather;
• venue conditions;
• third-party conduct;
• user-generated content;
• financial loss; and
• ordinary negligence of a Released Party where such liability may legally be released.

Nothing in this Agreement releases liability that applicable law prohibits from being waived.

32. Indemnification

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, you agree to defend, indemnify, and hold harmless the Released Parties from claims, demands, actions, liabilities, damages, judgments, losses, penalties, fines, costs, and reasonable attorneys' fees arising from or relating to:

• an activity you independently create, organize, host, lead, or promote;
• your acts or omissions;
• representations you make concerning an activity;
• your violation of this Agreement;
• your violation of applicable law;
• your unauthorized use of D76 branding;
• your handling of participant information;
• fees or funds you independently collect;
• your agreements with venues, vendors, sponsors, or third parties;
• content you submit;
• property damage or injury caused by you; or
• claims made by third parties arising from your independent conduct.

This provision applies only to the fullest extent permitted by applicable law.

33. Limitation of District 76 Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RELEASED PARTIES SHALL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO AN ACTIVITY OR YOUR USE OF D76 ORGANIZER FEATURES.

D76 does not guarantee that organizer tools, notifications, routes, RSVPs, messages, maps, weather data, location information, or other platform functions will operate continuously, accurately, or without error.

Nothing in this section excludes liability that applicable law does not permit D76 to exclude.

34. No Insurance Provided by District 76

Unless D76 expressly states otherwise in writing, D76 does not provide you with:

• general liability insurance;
• motorcycle insurance;
• event insurance;
• accident insurance;
• medical insurance;
• property insurance;
• commercial insurance;
• workers' compensation insurance; or
• any other insurance coverage

because you create, publish, host, or lead an activity.

You are responsible for determining whether insurance is appropriate or legally required for an independently organized activity.

35. Your Responsibility Does Not Mean You Guarantee Safety

Nothing in this Agreement should be interpreted as requiring an organizer to guarantee participant safety.

The purpose of reasonable organizational responsibilities described in this Agreement is not to transfer control of individual participants or motorcycles to the organizer.

Every participant remains responsible for their own decisions and conduct.

36. Supplemental Safety Waiver

If you personally ride or otherwise participate in a motorcycle activity, you remain bound by the District 76 Safety Waiver & Assumption of Risk.

Acting as an organizer, ride creator, ride lead, sweep, or host does not replace or supersede your obligations as a participant.

37. Survival

Provisions that by their nature should continue after an activity or your account ends shall survive, including provisions concerning:

• releases;
• waivers;
• indemnification;
• intellectual property;
• limitations of liability;
• financial obligations;
• dispute provisions; and
• records of acceptance.

38. Severability

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, it shall be enforced to the maximum extent permitted by law.

The remainder of the Agreement shall remain effective to the extent permitted by applicable law.

39. No Waiver by District 76

Failure by D76 to enforce a provision of this Agreement on one occasion does not waive our right to enforce that provision later.

40. Governing Law and Venue

This Agreement shall be governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, to the extent permitted by applicable law.

Subject to any controlling law, claims arising from this Agreement shall be brought in an appropriate state or federal court located in Tennessee.

41. Electronic Acceptance and Records

Your electronic acceptance is intended to have the same legal effect as your handwritten signature to the extent permitted by law.

D76 may retain information documenting your acceptance, including:

• account identifier;
• Agreement name;
• Agreement version;
• date and time of acceptance;
• IP address;
• browser or device information; and
• related audit information.

These records may be retained as reasonably necessary to document consent, enforce agreements, resolve disputes, comply with law, or defend legal claims.

42. Updated Agreements

D76 may modify this Agreement as the platform, community, or applicable requirements change.

Material updates may require renewed acceptance before you may create or manage additional activities.

Your acceptance record will identify the version you accepted.

43. Acknowledgment

By selecting “I Agree & Publish”, you acknowledge and agree that:

• you have read and understood this Agreement;
• you are independently choosing to create, organize, host, lead, or publish the activity;
• District 76 is a community platform and is not automatically the organizer of an activity merely because it appears on D76;
• you have no authority to bind District 76 unless expressly authorized in writing;
• each rider remains solely responsible for operating their motorcycle;
• motorcycling involves the risk of serious injury and death;
• you will not pressure participants to exceed their abilities or violate the law;
• you understand D76 does not guarantee participants, attendance, routes, weather, event conditions, or outcomes;
• you agree to the release, indemnification, and limitation provisions above to the fullest extent permitted by applicable law; and
• you intend your electronic acceptance to be legally binding.
